(the “Company”), (NASDAQ: ECOR), a commercial-stage bioelectronic medicine company, today announced the pricing of an underwritten public offering of 18,000,000 shares of its common stock at a public offering price of $1.00 per share. The gross proceeds of the offering to the Company are expected to be $18.0 million, before deducting the underwriting discounts and commissions and other estimated offering expenses. In addition, the Company granted the underwriters a 45-day option to purchase up to an additional 2,700,000 shares of common stock at the public offering price, less underwriting discounts and commissions.
The closing of the offering is expected to occur on or about July 2, 2021, subject to the satisfaction of customary closing conditions.
Ladenburg Thalmann & Co. Inc. is acting as sole book-runner for the offering. Paulson Investment Company, LLC is acting as a co-manager for the offering.
The Company intends to use the net proceeds of the offering for sales and marketing, working capital, and general corporate purposes. In addition, it believes that opportunities may exist from time to time to expand its current business through acquisitions or in-licenses of, or investments in, complementary companies, medicines, intellectual property or technologies.
