The Conatus Pharmaceuticals Special Meeting of Stockholders Seeking Approval for Proposed Merger with Histogen Inc. will Reconvene on May 21, 2020

SAN DIEGO, May 07, 2020 (GLOBE NEWSWIRE) -- Conatus Pharmaceuticals Inc. (Nasdaq:CNAT) today convened and adjourned its special meeting of stockholders in order to obtain a quorum and specific stockholder approvals required pursuant to the terms of its merger agreement with Histogen Inc.

Conatus announced it needs additional time to solicit stockholder votes in order to obtain a quorum for the meeting and affirmative votes from a majority of the outstanding shares of Conatus’ common stock, which is required for the approval of the reverse stock split (Proposal 2).  The reverse stock split must be approved by a majority of the outstanding shares in order for the merger to close. Conatus announced that over 95% of the votes cast to date have been in favor of the merger with Histogen (Proposal 1).

The special meeting was adjourned until 9:00 a.m., Pacific Time, on May 21, 2020, and will be held virtually and stockholders can register to attend the meeting by visiting by no later than May 19, 2020 at 2:00 p.m. Pacific Time. The record date for the special meeting remains March 13, 2020. Stockholders who have previously sent in proxy cards or given instructions to brokers do not need to re-cast their votes unless they want to change their vote.

About the Proposed Merger

The merger is expected to close by the end of the second quarter of 2020, subject to approvals by the stockholders of Histogen and Conatus, a reverse stock split being implemented by Conatus, the continued listing of the combined company on Nasdaq and other customary closing conditions.
