Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On September 25, 2018, the MetLife, Inc. (the Company) Board of Directors (the Board) elected Diana McKenzie a director of the Company and appointed Ms. McKenzie to its Audit Committee and its Finance and Risk Committee, effective November 1, 2018. The Board also affirmatively determined that Ms. McKenzie qualifies as an independent director under the Corporate Governance Standards of the New York Stock Exchange. A copy of the news release issued by the Company on September 25, 2018 announcing Ms. McKenzies appointment is attached as Exhibit 99.1.
Ms. McKenzie will participate in the Companys standard non-management director compensation arrangements. The Company pays non-management directors a retainer of $300,000 per year, 50% in shares of the Companys common stock and 50% in cash. Directors earn a pro-rated retainer for partial-year service, earning the first of four annual installments at the beginning of service.
